ALTCOM Unipessoal Lda (“ALTCOM”), a single-member private limited company (sociedade unipessoal por quotas), with tax identification number 516781707, registered at the Porto Commercial Registry Office (Conservatória do Registo Comercial do Porto) under the same number, with registered office at Avenida 25 Abril 43A, 3860-352 Estarreja, Portugal, and fully paid-up share capital of € 5 000,00 (five thousand euros), provides the CLIENT with the services described on the Website www.altcom.pt under the trade name “ALTCOM”.
The services provided by ALTCOM are intended exclusively for professional users, companies and sole traders in the course of their business activity (B2B). The application of consumer protection legislation is expressly excluded.
The services provided by ALTCOM are subject to the submission of a Commercial Proposal, which sets out the Special Conditions of the project. Together, these documents constitute the Service Agreement (“SA”; in Portuguese, Contrato de Prestação de Serviços – “CPS”) between ALTCOM and the CLIENT, this document being taken as the reference for any matters not covered by the Special Conditions.
By accepting a Commercial Proposal for the Provision of Services from ALTCOM, the CLIENT confirms that it has read and understood, and fully agrees with, these general terms and conditions for the provision of services.
A. Changes to the General Terms and Conditions for the Provision of Services
ALTCOM reserves the right to amend these General Terms and Conditions for the Provision of Services at any time. Changes will be published on this page and the most recent version will always be available via the link altcom.pt/condicoes-gerais.
A.1. ALTCOM will notify the CLIENT of any changes electronically, indicating the date on which they come into force.
A.2. Changes will come into force after a period of 30 (thirty) days from the date of notification. Should the CLIENT disagree with the new terms, it must notify its intention to terminate the SA within 30 (thirty) days of the notification. Failure to give notice within the stipulated period implies the unequivocal tacit acceptance of the new terms.
I – Website Development, Hosting and Domains
1.1. ALTCOM provides website development and programming services, which include the configuration, programming, design and publication on the internet of individual web pages or sets of web pages (“Website”), which may be contracted by the CLIENT. 1.2. The service includes the programming of bespoke modules and features only when expressly agreed and detailed in advance in the Commercial Proposal. All features, modules, plugins, pages, sections and/or changes not included in the Commercial Proposal may be developed/applied as an additional service, to be quoted and invoiced in accordance with the price list in force. 1.3. The CLIENT is entitled to 2 (two) design revisions during the development of the Website. A ‘revision’ means a consolidated request for minor visual, formatting or content-replacement adjustments that does not alter the previously approved architecture, base structural layout or technology. Conceptual changes to the initial mock-up or the addition of new pages/features do not constitute revisions and will be quoted and invoiced separately, in accordance with the price list in force. 1.4. ALTCOM does not guarantee any specific growth in visits, reach or brand awareness, or a good position/visibility in search engines, as these factors depend on the platforms’ algorithms and on public acceptance. 1.5. The service does not include the creation or development of any type of content, whether visual, graphic or written, including texts, images or videos. Where content is not provided by the CLIENT, ALTCOM may use content from free image banks or develop bespoke content, this additional service being charged separately in accordance with the price list in force, depending on the CLIENT’s wishes and the proposal submitted. The CLIENT acknowledges and accepts that legal responsibility, authorship responsibility and responsibility for the accuracy of all content placed on the Website lie exclusively with the CLIENT, regardless of whether it was supplied by the CLIENT or developed to order by the ALTCOM team.
2.1. The hosting, domain registration and e-mail service is provided by ALTCOM. The CLIENT acknowledges that the provision of these services depends on the maintenance and policies of external infrastructures and entities. ALTCOM accepts no responsibility for interruptions, failures, price changes or policies imposed by these entities. 2.2. ALTCOM does not guarantee 100% uptime, nor any level of operating speed, the service being subject to scheduled maintenance or to interruptions caused by third parties or by external factors. The CLIENT acknowledges that ALTCOM shall not be held liable for service failures arising from causes attributable to the underlying service provider. ALTCOM shall not be liable for any direct or indirect damage or loss of profit resulting from the unavailability of the service, except in the event of wilful misconduct or gross negligence on the part of ALTCOM. 2.3. Domains may be managed by ALTCOM or by the CLIENT itself. Where the domain is managed by ALTCOM, its renewal depends on the timely payment of the corresponding fees. Should the CLIENT fail to pay for the renewal within the stipulated period, ALTCOM accepts no responsibility for the loss of the domain, nor for any redemption or recovery costs with the Registry Authority (RA). 2.4. The CLIENT is responsible for ensuring that the registered domain does not infringe registered trademarks or third-party rights. ALTCOM accepts no responsibility whatsoever for legal disputes relating to domain ownership. 2.5. The e-mail service associated with the domain may only be provided by ALTCOM if the domain is registered and maintained on its infrastructure, under its management. If the CLIENT transfers the domain or changes the DNS, the e-mail service will be automatically and immediately suspended, with no right to a refund of the amount paid. 2.6. ALTCOM will issue an invoice for the renewal of the services in the month preceding the anniversary month of the effective service start date, and the CLIENT will have 30 days to make payment. For the purposes of calculating time limits, the effective service start date is deemed to be the first day of the month in which the Commercial Proposal submitted by ALTCOM was accepted. 2.7. Cancellation of, or the intention not to renew, the hosting and/or domain services must be notified by the CLIENT to ALTCOM in writing to the e-mail address geral@altcom.pt at least 30 (thirty) days before the anniversary and renewal date of the service. In the absence of notice within this minimum period, the services will be renewed automatically, the respective invoice being issued and the amount being fully payable by the CLIENT for the new annual cycle, with no right of withdrawal or refund for that period. 2.8. The hosting service includes a maximum disk space limit according to the plan subscribed. The use of server resources (such as CPU, RAM and number of files/Inodes) is strictly subject to an Acceptable Use Policy (AUP), available at altcom.pt/pua. ALTCOM reserves the right to suspend the service or require a mandatory upgrade to a higher plan should the CLIENT exceed these limits or should its use compromise the stability of the server and impair the service of other clients. 2.9. The registration and maintenance of domains are subject to the Terms and Conditions and the dispute resolution policies of the competent regulatory bodies (e.g. ICANN, Associação DNS.PT). ALTCOM acts solely as a technical intermediary in this process and declines any responsibility should a domain be suspended or cancelled, or its renewal refused, by order of these bodies. 2.10. Domain Ownership and Transfer: Unless expressly agreed otherwise in advance, domains registered by ALTCOM at the CLIENT’s request are kept under the technical and administrative management of ALTCOM, which acts as the contact entity. ALTCOM reserves the Right of Technical Retention and of suspension or alteration of DNS records (including redirection to the temporary page provided for in point 6.1.1 of these Terms) in the event of financial default. Should the CLIENT wish to change the legal ownership, move to self-management or technically transfer the domain to another external manager/registrar, it must submit that request in writing to the e-mail address geral@altcom.pt. The approval and execution of any of these procedures (including authorisation of the transfer of ownership with the competent body or the issue of the EPP/Auth transfer code) are strictly conditional upon: a) Payment of an administrative release fee, identified in the price list in force under the heading “Migração de domínio” [Domain transfer]. The CLIENT expressly acknowledges and accepts that this commercial designation covers, and is charged in the same way for, both external technical transfer processes and change-of-ownership processes; b) Full settlement of all outstanding service invoices. ALTCOM reserves the right to refuse to release, unlock or change the domain data until all amounts due have been fully and effectively settled.
3.1. Websites developed by ALTCOM are based on the WordPress platform and are subject to periodic security and functionality updates. ALTCOM guarantees the correct operation of the Website for a period of 3 (three) months from the date of delivery and final acceptance of the project. The warranty covers exclusively the structure and code natively developed by ALTCOM. Expressly excluded from this warranty are any functional or layout breakages or security vulnerabilities arising from updates to the CMS core (WordPress), page builders, third-party themes or plugins, as well as changes to the server’s PHP version. After the warranty period, the normal operation and ongoing compatibility of the Website are only guaranteed if the CLIENT subscribes to the “Alojamento Gerido” [Managed Hosting] service. Under the “Alojamento Partilhado” [Shared Hosting] option, ALTCOM provides strictly the server space and resources, full responsibility for management, resolution of technical problems and updates lying with the CLIENT. 3.3. Modifications made by the CLIENT or by third parties without ALTCOM’s authorisation may compromise the operation of the Website. Breach of this clause immediately voids the warranty provided for in the preceding number. 3.4. Should the CLIENT wish to receive ongoing support or content updates after the warranty period, it may contract the “Gestão de Website” [Website Management] or “Suporte prioritário” [Priority Support] services, or request one-off technical interventions, subject to specific costs, in accordance with the price list in force.
4.1. ALTCOM implements security measures to protect Websites, but does not guarantee absolute protection against intrusions, malware or other threats. The CLIENT acknowledges that the total security of a Website depends on multiple external factors and that ALTCOM cannot be held liable for damage caused by third-party attacks. 4.2 ALTCOM offers a “Cópia de segurança quinzenal” [Fortnightly backup] service for Websites hosted on its servers (files and databases), subject to an additional subscription by the CLIENT. However, irrespective of whether this service is subscribed to, and in particular for E-commerce Websites and transactional content, the CLIENT is solely responsible for making and keeping, at its own frequency and by its own means, continuous and secure backups of its critical and transactional data outside ALTCOM’s infrastructure, including: a) Products and orders; b) Inventory; c) Customer information and financial databases. ALTCOM declines any responsibility for the destruction, loss or deterioration of such critical data or for the impossibility of recovering it, except in the event of wilful misconduct or gross negligence directly attributable to ALTCOM in the management of the servers. Should the CLIENT request the restoration of a backup for reasons not attributable to ALTCOM (e.g. the client accidentally deleted data, installation of faulty plugins), the restore operation may be subject to a technical intervention fee, quoted in advance. 4.3. Should the CLIENT use external hosting, responsibility for the security and backups of the Website lies entirely with the CLIENT. 4.4. The CLIENT is responsible for providing all the content required (texts, images, videos, etc.) within the deadlines set for the development of the Website. Failure by the CLIENT to meet the deadlines may result in project delays and/or additional costs. 4.5. The CLIENT undertakes to keep its access credentials secure, choosing complex passwords and not sharing them with third parties. The CLIENT assumes full responsibility for any act performed using its username and password. 4.6. Should the Website or the e-mail service be compromised through the CLIENT’s negligence (use of weak passwords, installation of unverified plugins, etc.), ALTCOM accepts no responsibility for damage or costs associated with the recovery of the Website or the e-mail accounts. 4.7 Should ALTCOM detect that the CLIENT’s Website has been compromised (e.g. malware injection, phishing attacks) or is being used to send unsolicited mail (spam) involuntarily owing to vulnerabilities, ALTCOM reserves the right to suspend the hosting immediately and without prior notice. This measure is intended to protect the main server infrastructure and the reputation of the IP addresses, and the CLIENT shall not be entitled to any compensation for the period of inactivity.
5.1. ALTCOM considers the project formally delivered upon its publication on the internet. 5.2. The CLIENT has 10 (ten) working days from the date of delivery to inspect and approve the Website. At the end of this period, and in the absence of express notice from the CLIENT, the project will be deemed formally accepted. 5.3. Intellectual Property of the Development: Upon full payment of the stipulated price, the CLIENT acquires ownership of, and all rights to use and exploit, the bespoke Website (structure and design) and all its Content (texts, images, videos) for the defined purposes. ALTCOM retains only the intellectual property (copyright) in its base source code, programming frameworks, templates and proprietary tools, granting the CLIENT a permanent, non-exclusive licence to use those elements for the operation of the Website. 5.4. Ownership of Content: The CLIENT is solely responsible for all content placed on the Website, including texts, images, videos and any other materials. The CLIENT warrants that it holds all the rights and licences required for the use of the content supplied. ALTCOM accepts no responsibility for content that is illegal, offensive, protected by third-party copyright or that infringes any applicable legislation. 5.5. ALTCOM reserves the right to suspend or remove any Website whose content infringes applicable laws or compromises the integrity of its servers and infrastructure. 5.6. All Websites developed by ALTCOM must include in the footer the branding and authorship credit with the text “webdesign altcom.pt”, together with an active hyperlink to ALTCOM’s official Website. Should the CLIENT wish to remove, hide or alter this credit, such request will be subject to payment of an additional fee, as set out in the price list in force.
6.1. Failure to pay for any service provided by ALTCOM may result in the suspension of access to the Website and the e-mail account. Suspension will be preceded by notice of at least 15 (fifteen) days before the definitive removal of the data, without prejudice to the collection of any outstanding amounts. 6.1.1. In the event of suspension for non-payment of the hosting and/or domain subscription, ALTCOM reserves the right to replace the CLIENT’s Website with a temporary notice page (e.g. ‘Website Deactivated’) until the amounts owed have been duly collected, changing the DNS routing if necessary. ALTCOM may, at its sole discretion, include hyperlinks to, or display advertising for, its own services and brand on this temporary page. ALTCOM declines any and all responsibility for any loss of turnover, loss of business or reputational damage resulting from this legitimate suspension. 6.1.2. The technical suspension of the services for financial default does not constitute termination of the contract, cancellation of the debt or cancellation of the subscription. All services subject to automatic renewal (namely domain registration and hosting plans) will continue to be renewed and invoiced if the CLIENT has not formalised the cancellation request with the mandatory minimum notice set out in Point 2.7. The blocking of access to the services acts solely as a retention and protection measure for ALTCOM, the CLIENT’s obligation to pay in full all amounts invoiced and outstanding remaining intact. 6.2. Should the CLIENT stop paying for the hosting, domain or other contracted services, ALTCOM reserves the right to permanently remove the data of the Website and of the associated e-mail accounts after the notified grace period. 6.3. The CLIENT may request the cancellation of the services at any time, but will not be entitled to a refund of amounts already paid. 6.4. The CLIENT is not authorised to initiate processes or programs that the CLIENT knows or ought to know are interfering with ALTCOM or third parties, or that may cause damage. ALTCOM reserves the right to suspend the e-mail service (SMTP and reception) should spam activity or the mass sending of unsolicited mail be detected. 6.5. The CLIENT warrants that it will not use the service(s) to store or distribute data that infringes the rights of third parties, or that is defamatory, harmful, threatening, abusive, discriminatory or hateful, or that incites criminal or fraudulent behaviour. 6.6. Should you find illegal content on our platforms, you may report it under the terms of Article 16 of Regulation (EU) 2022/2065 – DIGITAL SERVICES ACT (Lei dos Serviços Digitais), by sending an e-mail to the following address: geral@altcom.pt. When suspending or removing a Service for a breach, ALTCOM will notify the CLIENT of the reasons for the decision and of the right to an internal complaint/appeal. 6.7. Shared/managed hosting is intended exclusively for the operation of the Website. It is strictly prohibited to use the hosting space for mass file storage, backups of local computers, hosting of files for sharing (file-sharing/warez), cryptocurrency mining, or running background scripts that consume excessive server resources.
II – Social Media Management
1.1. ALTCOM provides social media management services, which include the planning and publication of content on the platforms contracted by the CLIENT, consisting of a Creative (image) and a Copy (text). The Creative is developed by combining a Template, charged separately as an add-on, with the content provided by the CLIENT. The Copy is developed on the basis of the Plan developed during the first month of service. 1.2. The service includes publication on Facebook, Instagram, LinkedIn, TikTok, Twitter (X) and other platforms, as agreed in advance in the Commercial Proposal. 1.3. ALTCOM does not guarantee any specific growth in followers, reach or engagement, as these factors depend on the platforms’ algorithms and on public acceptance. 1.4. The service does not include the management of comments or messages received on the platforms on which ALTCOM will publish. 1.5. The first and second months of service do not include the publication of content on any platform, being reserved for the development of the Plan jointly with the CLIENT, as well as the development of the Templates and the first month of production. 1.6 The Plan is a working document developed jointly with the CLIENT which will define various parameters of the content to be published, such as a suggested image and text, as well as other relevant points, to be provided by the CLIENT. 1.7 The Templates are the creative basis to be used in developing the content and are not included in the monthly fee, being charged according to the CLIENT’s wishes and the price list in force. 1.8 Content is produced in the month preceding the month to which it relates. Once produced, the creatives are sent to the CLIENT for approval before publication, which must be given as soon as possible. 1.9 The CLIENT may request minor corrections to the design of the creatives, but may not request radical changes that are not aligned with the approved Templates and Plan. Should the CLIENT wish to make substantial changes, these must be requested during the month of production of the post(s) concerned (the month preceding their publication), the time spent being charged in accordance with the price list in force.
2.1. ALTCOM’s Obligations: To create and publish content based on the Plan and Templates approved by the CLIENT. 2.2. The CLIENT’s Obligations: To provide all the material required to create the content, including images, videos and relevant information. Where such material is not provided, ALTCOM will use resources from free image banks. To grant administrator access to, or share the access credentials for, the accounts and/or profiles on which content will be published. To approve content within the established deadlines in order to ensure efficient scheduling. The CLIENT retains full responsibility for the content published, including its compliance with applicable laws and regulations, and warrants that it holds all the necessary copyright and usage rights. 2.3. Ownership and Copyright: The CLIENT acquires full ownership of, and the rights to use and exploit, the content (Creative and Copy) produced by ALTCOM, upon full payment, for use on the respective social network. 2.4. After the end of the contract, the CLIENT may not reuse content produced by ALTCOM on platforms or in formats other than the contracted social networks without ALTCOM’s written authorisation. 2.5. ALTCOM reserves the right to publish the content in its portfolio or to disseminate it through its newsletter to current and potential clients, in commercial or marketing activities.
3.1. The service is provided against advance monthly payment, in accordance with the financial terms set out in the Commercial Proposal. 3.2. Failure to pay within the deadline will result in the suspension of the service. 3.3. The CLIENT may request cancellation at any time, but there will be no refund of amounts already paid. 3.4. ALTCOM accepts no responsibility for blocks, suspensions or changes to social media algorithms that may affect the performance of posts or access to the accounts and/or profiles on those platforms, even where this is the direct result of a post made by the ALTCOM team. 3.5. ALTCOM accepts no responsibility for the actions of third parties, such as negative comments or online attacks on the CLIENT’s accounts.
III – Online Advertising Management
1.1. ALTCOM offers online advertising management services on platforms such as Meta Ads (Facebook and Instagram) and Google Ads. ALTCOM undertakes an obligation of means, using its best professional diligence, but does not guarantee specific results (e.g. number of sales, leads or interactions). 1.2. The service includes the creation, optimisation and monitoring of advertising campaigns to achieve the objectives defined with the CLIENT. 1.3. The service includes one (1) update of content or parameters/settings per campaign per month, any other revisions or changes requested by the CLIENT being charged in accordance with the price list in force. 1.4. The service does not include the creation or development of any type of content, whether images or videos. Where content to be used in the ads is not provided by the CLIENT, ALTCOM will use content from free image banks, or bespoke content may be developed, charged separately in accordance with the price list in force, depending on the CLIENT’s wishes and the Commercial Proposal submitted.
2.1. ALTCOM’s Obligations: To set up and manage ad campaigns in accordance with the guidelines and objectives defined jointly with the CLIENT. To optimise the ads in order to maximise performance within the stipulated budget. To provide campaign performance reports in digital document format (e.g. PDF), at the CLIENT’s request. 2.2. Access to and Ownership of the Ad Account: ALTCOM develops and runs all advertising campaigns in its own ad accounts (Google Ads, Meta Ads, etc.), ALTCOM being the sole holder of, and the only party with access to, these accounts. The CLIENT has no direct access to the ad accounts, and is provided with performance reports and feedback by ALTCOM. Legal and financial responsibility for the ad account, including compliance with the platforms’ policies, lies with ALTCOM as manager and holder of the account, but the CLIENT is responsible for ensuring that its product or service complies with the Advertising Policies of Meta and Google. 2.3. The CLIENT’s Obligations: To define the objectives of the campaigns and approve the advertising materials within the established deadlines. To ensure that the ads comply with the platforms’ policies and to provide truthful and lawful information.
3.1. The amount paid to ALTCOM relates solely to the management of the campaigns and does not include the ad budget/advertising investment (media spend), which is invoiced separately by ALTCOM, as defined in the Commercial Proposal. 3.2. The ad management service is charged monthly and must be paid in advance. 3.3. Non-payment of the management fee will result in the suspension of the service, without prejudice to the continued charging by the advertising platforms. 3.4. Media Spend Invoicing Adjustment: The CLIENT acknowledges and accepts that, owing to variations in the billing cycle, platform transaction fees or administrative charges, the amount invoiced by ALTCOM for the costs of the advertising platforms may not correspond exactly to the amount spent on the platforms. If there is a remaining balance of unspent budget, this amount will not be refunded to the CLIENT. The balance will be credited in full to be applied to the campaign budget for the following month(s) or period(s), ensuring that the CLIENT makes full use of it. Alternatively, and as decided on a case-by-case basis according to the CLIENT’s wishes or in the event of termination of the contract, ALTCOM may invoice and retain that remaining balance as a processing and administrative account-closure management fee, with no return or monetary refund being due in any scenario.
4.1. The CLIENT may request the cancellation of the service at any time, but there will be no refund of the amounts paid. 4.2. ALTCOM accepts no responsibility for losses arising from unilateral changes to policies, technical failures or blocks/suspensions of campaigns or accounts imposed by the Meta or Google platforms, the risk of change or blocking being inherent in the use of these services. This exclusion of liability applies to blocks resulting from policy changes or breaches by the CLIENT, and not to blocks caused by wilful misconduct or gross negligence on the part of ALTCOM.
IV – E-mail Service
1.1. The e-mail service is provided by ALTCOM, and its provision depends on the domain being maintained on ALTCOM’s infrastructure, under its management. 1.2. The CLIENT is solely responsible for managing the mailbox space and for periodically deleting messages to avoid exhausting the available space. 1.3. ALTCOM accepts no responsibility for the destruction, loss or deterioration of the data contained in e-mail backups, even where these are periodic. The CLIENT is responsible for making frequent and secure backups of its e-mail content outside ALTCOM’s infrastructure. 1.4. The CLIENT is responsible for maintaining the confidentiality and security of its e-mail access credentials, and must choose complex passwords and change them periodically. 1.5. The CLIENT undertakes not to engage in sending unsolicited mail (spamming) or in any other practice prohibited by the rules of Netiquette and by data protection legislation. 1.6. ALTCOM reserves the right to suspend or terminate the e-mail service immediately and without prior notice, for both incoming and outgoing (SMTP) messages, should it consider, at its sole discretion, that the CLIENT is engaging in spam activities or compromising the reputation of the server infrastructure. 1.7. Failure to pay the e-mail service subscription will result in the immediate suspension of the sending and receiving of messages. ALTCOM reserves the right to permanently remove the mailboxes and the respective data after the notified grace period, declining any and all responsibility for communication breakdowns, loss of business or damage resulting from this legitimate suspension.
V – Resale of Microsoft Office 365 Licences
1.1. ALTCOM acts as a reseller of Microsoft Office 365 software licences. 1.2. ALTCOM does not guarantee 100% uptime of the service, its availability being entirely dependent on the provision of these services by Microsoft and by third-party suppliers. ALTCOM accepts no responsibility for interruptions or failures caused by these suppliers. 1.3. The CLIENT declares that it is aware of, and fully accepts, Microsoft’s terms, service policies and privacy policies governing the use of Office 365. 1.4. ALTCOM is not responsible for unilateral changes made by Microsoft to features, availability, prices or licensing terms. 1.5. ALTCOM is responsible for the management and invoicing of the licence. ALTCOM will provide first-level support (Tier 1 Support), limited to invoicing and access credential issues, and will forward complex technical problems to Microsoft, or quote advanced support separately. 1.6. The suspension, termination or non-renewal of the Microsoft services by the CLIENT does not confer any right to a refund of amounts already paid. 1.7. Non-payment of the Microsoft 365 licensing will result in the immediate suspension of access to the accounts, mailboxes and files hosted on Microsoft’s infrastructure. ALTCOM accepts no responsibility whatsoever for any retention, blocking or irreversible deletion of data by Microsoft resulting from the CLIENT’s failure to renew the licence in good time.
VI – Final Provisions
1.1. Under no circumstances shall ALTCOM’s civil and financial liability, whether for data loss, security breaches in managed digital environments or hardware failures in third-party infrastructure, exceed the total amount paid by the CLIENT for the hosting, management or support services in the 12 (twelve) months preceding the occurrence of the event. ALTCOM gives no warranty of uninterrupted data integrity, the backups generated being provided strictly on a ‘best-effort’ basis. 1.2. Confidentiality: Both Parties (ALTCOM and the CLIENT) undertake to keep confidential, and not to disclose to third parties, any technical, operational, financial or commercial information to which they have access during the performance of the Agreement, except where required by law or by a competent authority. This confidentiality obligation shall remain in force for a period of 3 (three) years after the end of the Agreement. 1.3. Amendments to the Agreement: Any amendment or addendum to these General Terms and Conditions or to the Commercial Proposal must be made in writing and duly signed by both Parties, except for the changes referred to in Point A, which will be notified to the CLIENT electronically with the necessary advance notice. 1.4. Assignment of Contractual Position: The CLIENT may not assign its contractual position to third parties without ALTCOM’s prior, express written consent. ALTCOM may assign its contractual position to companies in its group or to third parties, subject to prior notice to the CLIENT. 1.5. ALTCOM shall not be liable for failures in the Service resulting from fortuitous events or force majeure (such as natural disasters, wars, strikes, pandemics, power failures, telecommunications outages, or any other unforeseeable and unavoidable situations beyond ALTCOM’s reasonable control). 1.6. The CLIENT agrees to defend, hold harmless and indemnify ALTCOM against any losses, damages, fines, legal proceedings or costs (including reasonable lawyers’ fees) resulting from the CLIENT’s breach of these General Terms and Conditions, from the infringement of third-party intellectual property rights, or from any abusive or unlawful use of the contracted services. 1.7. Promotion and Portfolio: ALTCOM reserves the right to list the CLIENT as part of its commercial portfolio, and may display samples of the projects developed and use the CLIENT’s logo on the ALTCOM Website or in other promotional materials of the agency. Should the CLIENT not wish to appear in these materials, it may request its removal at any time by written notice, a request with which ALTCOM will promptly comply. 1.8. This Agreement is governed by Portuguese Law. The courts of the District of Aveiro (Foro da Comarca de Aveiro) shall have jurisdiction to settle any disputes arising from this Agreement, any other forum being expressly waived.
